Welcome to Equity Ally. These Terms and Conditions ("Terms") govern your use of our mobile app, website, and related services (the "Service"), operated by Patropatri and Equity Ally Technologies Limited ("we," "our," or "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Equity Ally helps adults discover potential business partners through profiles, preferences, matching, and communication. These Terms should be read with our Privacy Policy and the purchase terms presented when you subscribe. Nothing in these Terms removes a right that applicable law does not allow you to waive.

01Eligibility

1.1 Age and legal capacity

You must be at least 18 and have the legal capacity to enter into an agreement in your jurisdiction. You must complete required age and terms confirmations honestly.

1.2 Account eligibility

Use one genuine account for yourself unless we authorise otherwise. Do not create an account to evade an earlier restriction. You are responsible for ensuring your use of the Service and any proposed business activity are lawful where you live and operate.

02Account Registration

2.1 Creating an account

Register with a valid email address and password or an available Google or Apple sign-in option. Supply accurate, current information during onboarding and keep your contact details up to date. Some features depend on completing a profile or verification.

2.2 Account security and ownership

Protect your password, sign-in credentials, and device. Do not transfer, sell, or share your account. Tell us promptly about suspected unauthorised use. You are responsible for activity you authorise through your account, subject to applicable law; we remain responsible for obligations that the law places on us.

2.3 Verification

We may require proportionate information to verify account ownership or identity. Forged or misleading documents, impersonation, and knowingly false information are prohibited.

03Acceptable Use

3.1 Purpose of the Service

Use Equity Ally to explore lawful business partnerships and exchange relevant professional information in good faith. Treat other users respectfully and be honest about your skills, experience, resources, and intentions.

3.2 Independent decisions

Equity Ally is a discovery and communication service. It is not an investment exchange, broker, lender, escrow provider, immigration adviser, or party to agreements between users. A match, profile, or verification badge is not an endorsement of a business opportunity.

You are responsible for due diligence and independent legal, financial, tax, and immigration advice where needed. The Service does not guarantee funding, income, business success, employment, a visa, permanent residency, or any other legal status.

04User Profiles and Content

4.1 Accuracy and authority

Describe your identity, qualifications, budget, industry, equipment, and experience honestly. Upload only information and files you own or have permission to use. Do not disclose another person's confidential or personal information without authority.

4.2 Photographs and documents

Images must not deceptively represent your identity. Certificates and verification material must be genuine and lawfully supplied. Do not upload explicit, exploitative, infringing, or unlawful content.

4.3 Ownership and visibility

You retain ownership of your content, subject to the service licence in section 8. Profile information is intended to support discovery and may be visible under the applicable feature and access rules. Avoid posting trade secrets, credentials, or material that you are not authorised to share.

4.4 Review and removal

We may review or restrict content that violates these Terms or applicable law, and request corrections where appropriate. Contact us if you believe a moderation decision was mistaken.

05Matching and Communication

5.1 Discovery and matches

Suggestions may use location, industry, skills, budget, preferences, and activity. Mutual interest may create a match. Suggestions are not professional recommendations, and no particular number or quality of matches is guaranteed.

5.2 Communication access

Chat, attachments, profile-view details, and other features depend on the access rules and plan shown in the Service. Do not bypass those rules. Communicate respectfully, respect another user's decision to stop communicating, and report misuse to support.

5.3 Free and Premium features

The Service offers Free and Premium access. Free use can include daily swipe limits and advertisement-based content access. Premium can include expanded discovery or communication access, visibility of profile viewers, and ad-free features. The offer shown before purchase describes the applicable benefits, duration, and limits.

5.4 Subscriptions, renewal, and cancellation

Before confirming a purchase, review the price, currency, billing period, renewal terms, and taxes shown by the billing provider. A recurring subscription renews under those terms unless cancelled through the appropriate provider. Apple and Google manage purchases made through their stores; Stripe supports web purchases. Changes to prices or plans will be communicated as required by law and the provider's rules.

Manage Apple purchases through your Apple account subscriptions and Google Play purchases through Google Play subscriptions. Use the available subscription controls or contact support for a web purchase. Deleting the app, stopping use, or requesting account deletion does not itself cancel automatic billing. Cancellation, pause, restoration, and remaining access depend on the provider and plan.

5.5 Refunds, promotions, and payment records

Refund eligibility is determined by applicable law and the billing provider's rules. Request assistance through the provider that charged you or contact us with your purchase reference; do not send full card details. We do not promise automatic refunds. Coupon limits, expiry, and other conditions apply as displayed. Do not falsify purchase receipts or use another person's purchase to obtain access.

06Identity Verification

6.1 Process and outcomes

Verification may involve submitting front and back identity-document images for review. A submission may be pending, approved, or rejected. Where a rejection reason is provided, review it before resubmitting or contact support for clarification.

6.2 Meaning of verification

A verification outcome reflects the checks performed; it is not a guarantee of a person's character, solvency, qualifications, ownership of assets, or the safety of a proposed business transaction. Continue to carry out your own checks.

6.3 Document handling

Identity material is handled as described in the Privacy Policy for verification, support, and fraud prevention. Do not send another person's documents or altered documents. Contact us about access, retention, deletion, or a review decision.

07Prohibited Conduct

7.1 Harm, deception, and exploitation

  • Harassment, threats, stalking, hate speech, discrimination, sexual exploitation, or coercion.
  • Impersonation, fake credentials, forged identity documents, misleading budgets or business claims, and fraudulent accounts.
  • Scams, pyramid schemes, deceptive investment offers, money laundering, or pressure to send money without legitimate due diligence.

7.2 Technical abuse

  • Accessing another account or protected system without authority; bypassing verification, subscription, or security controls.
  • Distributing malware, interfering with availability, abusing APIs, or scraping personal information without permission.
  • Reverse engineering or circumventing protections except to the extent applicable law expressly permits it.

7.3 Content and commercial misuse

Do not send spam, unlawful advertising, infringing content, or confidential information without permission. Genuine discussion of lawful business opportunities is permitted; unsolicited mass promotion and deceptive solicitation are not. Do not collect user data for resale or unrelated marketing.

08Intellectual Property

8.1 Our materials and your licence

The Service's software, design, branding, and original materials belong to us or our licensors. Subject to these Terms, you receive a limited, non-exclusive, non-transferable right to use the Service for its intended business-discovery purpose. This does not grant ownership of our intellectual property.

8.2 Licence for user content

You grant us a non-exclusive licence to host, store, reproduce, transmit, and display your content as necessary to operate, secure, and provide the Service. Service providers may perform these functions on our behalf. This permission is limited to those purposes and continues only as needed for delivery, lawful retention, backups, or resolving disputes. It does not transfer ownership of your content to us.

8.3 Copyright concerns

Send a copyright complaint to mrfahim31@gmail.com with your contact information, a description of the work, the location of the material, your authority to act, and a good-faith explanation of the claim. We may request the statements or signature required by the law applicable to your notice.

09User-Generated Content

9.1 Responsibility

You are responsible for the content you submit and the permissions needed to share it. We do not endorse user statements, business offers, or documents. Other users may keep copies of material you send them.

9.2 Moderation and reports

We may investigate reports and restrict content or access where justified by these Terms, safety, or legal requirements. We do not promise to pre-screen every profile or message. Include enough information for support to identify a concern, but avoid sending unnecessary sensitive data. If there is immediate danger, contact the appropriate local emergency service.

10Privacy and Data Protection

10.1 Privacy Policy

Our Privacy Policy explains account and profile information, verification documents, messages, location, purchase records, advertising interactions, and diagnostics. It also explains sharing, retention, and privacy requests. Agreement to these Terms is not a substitute for separate consent where required.

10.2 Your choices

Use available profile controls and device settings to manage information and permissions. Email mrfahim31@gmail.com to request access, correction, or deletion. We may verify your identity and retain information where a lawful exception applies, as explained in the Privacy Policy.

11Disclaimers

11.1 Availability and results

To the extent permitted by law, the Service is provided on an “as is” and “as available” basis. We do not warrant that it will always be uninterrupted, error-free, or suitable for every proposed business purpose. We do not guarantee a successful match, transaction, partnership, financial return, or immigration outcome.

11.2 User interactions and third parties

Users make their own decisions about interactions and agreements. We are not responsible for a third party's promises merely because that person uses the Service. External services are subject to their own terms. This does not exclude responsibility that cannot lawfully be excluded.

11.3 Meeting and transaction safety

  • Verify identity, references, qualifications, and authority independently before committing money or signing an agreement.
  • Meet in an appropriate public location and tell someone you trust about your plans.
  • Use written agreements and suitable professional advice for a partnership. Never share passwords or one-time security codes with a prospective partner.

12Limitation of Liability

12.1 Scope

To the extent permitted by applicable law, we are not liable for indirect or consequential losses, loss of anticipated profits or business opportunities, or losses caused by another user's independent conduct that we could not reasonably control. Liability is assessed under the law applicable to your claim.

12.2 Rights that remain protected

Nothing in these Terms excludes or limits liability for fraud, deliberate misconduct, death or personal injury caused by negligence where it cannot be limited, or any other liability or consumer remedy that applicable law does not allow us to exclude. Mandatory rights take precedence over inconsistent wording.

13Indemnification

To the extent permitted by law, you are responsible for third-party claims and reasonable losses arising from your unlawful content, infringement of another person's rights, or material breach of these Terms. This does not require you to cover losses caused by our own unlawful conduct or breach of a duty owed to you. We will give reasonable notice of a relevant claim and allow you a reasonable opportunity to participate in its handling.

14Termination

14.1 Ending your use

You may stop using the Service and request account deletion by contacting mrfahim31@gmail.com from your registered address. Manage any recurring subscription separately with its billing provider. The Privacy Policy explains retention and deletion requests.

14.2 Restrictions by us

We may restrict, suspend, or terminate access where reasonably necessary to address a material breach, fraud, safety concern, legal requirement, or threat to service security. Where appropriate and legally permitted, we will explain the reason and allow you to contact support about the decision.

14.3 Consequences and continuing obligations

After termination you must stop using restricted access credentials. Access to profiles, messages, and paid features may end. Lawful payment obligations, intellectual property provisions, relevant liability provisions, dispute terms, and lawful data retention can continue where their nature requires it. Statutory refund or consumer rights remain unaffected.

15Dispute Resolution

15.1 Contact and informal resolution

Please contact mrfahim31@gmail.com with a description of a dispute so we can try to resolve it promptly. Where practical, allow a reasonable opportunity for discussion before commencing proceedings. This does not prevent urgent relief, regulatory complaints, or meeting a legal filing deadline.

15.2 Formal resolution

If a dispute remains unresolved, either party may pursue the remedies available in a competent court. Mediation or arbitration may be used if both parties separately agree and applicable law permits it. These Terms do not impose a blanket waiver of mandatory consumer, representative-action, or small-claims rights.

16Governing Law

These Terms are governed by the laws of Bangladesh, subject to mandatory protections applicable in your place of residence. Where legally permitted, the courts of Dhaka, Bangladesh have jurisdiction. This does not deprive a consumer of a right to bring proceedings in another court where applicable law provides that right.

17Severability

If a provision is held invalid or unenforceable, it will be limited or severed to the extent necessary, and the remaining provisions continue in effect. A failure to enforce a provision immediately does not waive the right to enforce it later, subject to applicable law.

18Changes to These Terms

We may revise these Terms as the Service or legal requirements change. The updated version will be posted here with its date. Material changes will be notified as required by law, and fresh agreement will be requested where necessary. Changes will not remove rights that have already arisen under mandatory law. If you do not agree to future terms, stop using the Service and contact us about your account or subscription.

20Apple App Store Requirements

20.1 Relationship with Apple

For an app obtained through Apple, the service agreement is between you and us. Apple is not responsible for providing our app's maintenance or support or handling claims concerning its content. Applicable Apple usage rules and any applicable standard end-user licence terms also govern your use of an Apple-distributed app.

20.2 Purchases and support

Manage App Store subscriptions, cancellation, restoration, and refund requests using the options provided by Apple. Apple's applicable terms determine its role in purchase-related remedies; these Terms do not promise a refund on Apple's behalf. Contact us for problems with Equity Ally features or your account.

20.3 Privacy

Read our Privacy Policy and the privacy information presented by the App Store. Account deletion requests and Apple subscription cancellation are separate actions. Apple's review guidance is available at developer.apple.com/app-store/review/guidelines .

21Google Play Store Requirements

21.1 Relationship with Google

For an app obtained through Google Play, these Terms govern the service relationship between you and us. Google is not responsible for providing Equity Ally's support. Applicable Google Play terms and usage rules also apply to store transactions and distribution.

21.2 Purchases and permissions

Use Google Play to manage purchases billed by Google, including renewal, cancellation, and available refund requests. Applicable law and Google's policies determine those remedies. Android settings allow you to manage permissions; declining a permission can limit the related feature.

21.3 Privacy and deletion

Read the Google Play Data safety information alongside our Privacy Policy. For an account or data deletion request, contact mrfahim31@gmail.com from your registered email address. Uninstalling the app is not a deletion request and does not itself cancel a Google Play subscription.
